1. Acceptance of Terms

Welcome to the website of The House of Agrawal (the “Site”). These Terms of Service (the “Terms”) govern your access to and use of the Site. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

2. About us

The Site is operated by The House of Agrawal LLC, a Georgia limited liability company with its registered office at Cumming, Georgia 30040, United States (“THOA US”), together with The House of Agrawal LLP, a limited liability partnership organized under the laws of India with its workshop in Moradabad, Uttar Pradesh (“THOA India,” and together with THOA US, “THOA,” “we,” “us,” or “our”).

THOA US handles customer-facing operations. THOA India handles manufacturing.

3. Nature of the Site

The Site is a portfolio and catalog. It exists to showcase handcrafted metal decor pieces and to allow qualified buyers, interior designers, architects, and retailers to request pricing, apply for trade accounts, and communicate with us.

The Site is not an e-commerce platform. No purchases are made on the Site. No prices are published or binding on the Site. Any item saved to an “Inquiry List” or submitted through an inquiry or contact form is an expression of interest only. It is not an offer to buy, a binding order, or an agreement of sale.

4. Eligibility

You must be at least 18 years old and capable of forming a binding contract under applicable law to use the Site. Portions of the Site — such as the Trade Program — are intended only for verified business customers.

5. Intellectual property

All content on the Site — including text, photographs, illustrations, graphics, product designs, product names, SKUs and taxonomy, code, and user-interface elements — is the property of THOA or its licensors and is protected by copyright, trademark, trade dress, and other intellectual property laws.

You may view the Site and share links to it for non-commercial, personal use. Without our prior written permission, you may not:

• —Copy, reproduce, modify, republish, or distribute any content from the Site
• —Use our images, product designs, or descriptions in your own marketing or on any third-party platform
• —Scrape, crawl, or systematically download content from the Site
• —Reverse engineer, decompile, or disassemble any part of the Site
• —Use our trademarks, name, or logo in any manner that suggests endorsement or affiliation
• —Train machine-learning models on Site content

Approved trade customers may use product imagery and descriptions provided to them for the purpose of specifying our pieces in their client projects, subject to any conditions in their trade agreement.

6. Submissions

When you submit information through the Site — including inquiry forms, trade applications, or email messages — you represent that the information is accurate, that you have the right to provide it, and that your submission does not violate any law or third-party right.

Submissions are treated as non-confidential commercial information. You grant us a perpetual, royalty-free license to use your submission to respond to you, evaluate a trade application, improve our business, and for any other purpose consistent with our Privacy Policy.

7. Product information and handcrafted variance

Every piece in our catalog is handcrafted in our Moradabad workshop. Because of the nature of hand processes:

• —Dimensions are approximate and may vary within standard artisanal tolerances
• —Finish, patina, coating, and color will vary from piece to piece and may shift over time
• —Photographs are representative and may not exactly match the color, finish, or tone of a delivered piece under your lighting conditions
• —Specifications, materials, and available finishes may change without notice
• —Certain pieces may be discontinued or replaced

Specifications and images on the Site are provided for reference only and do not constitute a warranty.

8. Pricing and quotes

No prices are published on the Site. Pricing is provided by written quote in response to a specific inquiry and is:

• —Confidential between you and us
• —Subject to change until accepted
• —Exclusive of shipping, insurance, duties, taxes, installation, crating, and any other fees unless explicitly stated
• —Valid only for the period stated in the quote (typically 30 days)

9. Trade Program

Access to the Trade Program requires verification of business credentials and our approval. Approval is at our sole discretion. Trade accounts are subject to a separate written trade agreement, which controls over these Terms with respect to the trade relationship.

10. Orders, fulfillment, shipping, and returns

No order is formed by use of the Site. Any order arises only from a separate written agreement, purchase order, or sales contract executed between you and THOA US.

That separate written agreement is the authoritative source for all order-related terms, including lead times, shipping, delivery, risk of loss, inspection, acceptance, warranties, returns, repairs, replacements, and refunds. The Site makes no representations regarding these matters.

11. Links to third-party sites

The Site may contain links to third-party sites that we do not operate or control. We are not responsible for their content, practices, or policies. Following a link is at your own discretion and risk.

12. Prohibited conduct

You agree not to:

• —Use the Site for any unlawful purpose
• —Impersonate any person or entity or misrepresent your affiliation
• —Submit false, misleading, or fraudulent information through any form
• —Interfere with or disrupt the Site, its servers, or connected networks
• —Attempt to gain unauthorized access to any part of the Site
• —Use bots, scrapers, automated tools, or data-mining to access the Site, except for publicly available robots.txt-compliant indexing
• —Transmit viruses, malware, or other harmful code
• —Collect or harvest personal information of other users
• —Use the Site to advertise or solicit, including competitive solicitation of our contacts

13. Disclaimer of warranties

The Site and all content are provided “as is” and “as available,” without warranty of any kind, express or implied, to the fullest extent permitted by law. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and title.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free from viruses. We do not warrant the accuracy, completeness, or timeliness of any content, including product specifications, dimensions, descriptions, or images.

This Section does not apply to any product warranties granted in a separate written sales agreement. Those warranties stand on their own terms.

14. Limitation of liability

To the fullest extent permitted by law, THOA and its members, partners, officers, employees, agents, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or loss of goodwill, arising out of or relating to your use of the Site, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to the Site and these Terms will not exceed one hundred US dollars (US $100).

Nothing in this Section limits liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, or fraud.

15. Indemnification

You agree to defend, indemnify, and hold harmless THOA and its members, partners, officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use or misuse of the Site; (b) your violation of these Terms; or (c) your violation of any law or third-party right.

16. Governing law

These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Where a matter arises specifically and exclusively from the operations of THOA India in India, the laws of India may additionally apply as required by Indian law.

17. Dispute resolution and venue

Before bringing any formal claim, you agree to contact us at legal@thehouseofagrawal.com with a written description of the dispute. We will make a good-faith effort to resolve it informally within 30 days.

If the dispute is not resolved, you agree that any lawsuit or proceeding arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Forsyth County, Georgia, and you consent to the personal jurisdiction and venue of those courts.

18. Severability and no waiver

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be interpreted to give the greatest possible effect to the parties’ intent.

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

19. Entire agreement

These Terms, together with the Privacy Policy and any separate written trade or sales agreement between you and THOA, constitute the entire agreement between you and us regarding the Site. They replace any prior communications or understandings about the Site.

20. Changes to these Terms

We may update these Terms from time to time. When we do, we will post the updated version on this page and revise the “Effective” date above. Your continued use of the Site after an update constitutes acceptance of the updated Terms.

21. Contact
